BY USING THE SERVICE, YOU AGREE TO THESE TERMS. 1) Contracting entity & definitions “You”, “Customer” means the individual or entity using the Service. “Service” means the AI Power Funnel web app, APIs, and related sites (aipowerfunnel.com). “Content” means any materials you upload, host, or send via the Service. 2) Eligibility You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or your organization. 3) Account & security Provide accurate registration information and keep it updated. You are responsible for all activities under your account and for implementing reasonable security (e.g., MFA). Notify us immediately of unauthorized access. 4) License & access Subject to these Terms and timely payment, we grant you a limited, non‑exclusive, non‑transferable license to access and use the Service for your internal business purposes. We reserve all other rights. 5) Acceptable use You agree not to: • Send spam or unlawful communications; harvest addresses without consent. • Upload malicious code or attempt to bypass security or rate limits. • Use the Service for phishing, fraud, gambling, pornography, hate or violence, or other prohibited content under applicable law or carrier policies. • Violate data‑protection, telemarketing/anti‑spam, or WhatsApp/SMS/email rules. • Misuse credits, overages, or exploit free‑trial/discount programs. We may suspend accounts to protect the platform or comply with law. 6) Customer content & responsibility You retain ownership of your Content. You represent and warrant that you have obtained all necessary rights and consents (e.g., to message contacts) and that your use complies with law (including DPDP/GDPR, anti‑spam, and DND rules). You are solely responsible for the substance of your Content and for honoring unsubscribe/opt‑out requests. 7) Messaging channels & third parties Use of WhatsApp, SMS, and email is subject to the policies of carriers and platform providers. We may throttle, block, or reject traffic that risks deliverability or violates policies. Third‑party services accessed through the Service are governed by their own terms and privacy policies. 8) Payments, taxes & billing Fees are due in advance. You authorize us and our payment processors (e.g., Razorpay/Stripe) to charge your selected payment method. Prices are exclusive of taxes; you are responsible for applicable GST and other taxes. Late or failed payments may result in suspension. Fees are non‑refundable except as stated in our Refund Policy. 9) Plan limits & fair use Plans include stated quotas (funnels, contacts, messages, workspaces). We may apply fair‑use limits to prevent abuse and ensure stability. Excess usage may incur overage fees or require an upgrade. 10) IP rights We own the Service and all related IP, including software, templates, and documentation. Feedback you provide may be used to improve the Service without obligation. 11) Confidentiality Non‑public information disclosed by either party marked or reasonably understood as confidential must be protected and used only for fulfilling the relationship. Exclusions: public info, independently developed, or rightfully obtained from third parties. 12) Privacy & data processing Our Privacy Policy and Data Processing Addendum (DPA) form part of these Terms. Where we process personal data on your behalf, we act as a processor and will implement appropriate technical and organizational measures. 13) Service levels & support We target 99.9% monthly uptime (excluding planned maintenance and events beyond our reasonable control). Credits or remedies, if any, will be defined in our SLA (if provided) and are your sole remedy for downtime. 14) Modifications We may modify the Service (including features, integrations, or UI) and update these Terms from time to time. Material changes will be notified in advance where feasible. Continued use after changes constitutes acceptance. 15) Term & termination These Terms continue until terminated. You may cancel at any time; we may terminate or suspend for breach, non‑payment, or risk to the platform. Upon termination, your license ends; we may retain or delete data pursuant to our Privacy Policy and legal obligations. 16) Disclaimers THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. AI‑GENERATED OUTPUTS MAY CONTAIN ERRORS; YOU ARE RESPONSIBLE FOR REVIEWING AND USING OUTPUTS APPROPRIATELY. 17) Limitation of liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES; OUR AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM. 18) Indemnity You will defend, indemnify, and hold us harmless from claims arising out of your Content, your use of the Service in violation of law or these Terms, or your communications with end‑users. 19) Governing law & disputes These Terms are governed by the laws of India. Courts in Pune, Maharashtra, shall have exclusive jurisdiction, except that we may seek injunctive relief in any court of competent jurisdiction. 20) Notices Legal notices: legal@aipowerfunnel.com Billing notices: billing@aipowerfunnel.com Privacy requests: privacy@aipowerfunnel.com 21) General No waiver unless in writing. If any provision is unenforceable, the remainder remains in effect.
